With reference to the current report No. 50/2009 of September 24, 2009 and No. 5/2010 of February 1, 2010, the Management Board of P.R.I. “POL-AQUA” S.A. informs that today the Company received two signed copies of construction contracts with Auchan Polska Sp. z o.o., concerning the commission for the construction of the Auchan Shopping Centre in Gliwice. Both contracts are dated November 16, 2009.

The total value of both contracts is equivalent to the commission value and is PLN 133,000,000 net.

One of the contracts meets the criterion of a material contract – the value (lump-sum remuneration to the Company) is PLN 107,897,581.92 net.

The contract covers the construction of the internal layout of the Auchan Shopping Centre, namely:
construction of the Shopping Centre and construction/reconstruction of the infrastructure (public exit from ul. Rybnicka, water supply system and a manifold discharge system of sanitary sewers and a stormwater main drain).

All construction, civil engineering and road work is to be completed by October 26, 2010. All permits for use and operation are to be obtained by November 15, 2010.

The Company will grant the principal:

- 3 years of warranty from the moment of final acceptance of works without defects,
- 3 years of statutory warranty from the moment of final acceptance of works without defects.

The Company will pay the principal the following contractual penalties:

- 0.25% of the contract price for each calendar day of delay in relation to the milestones specified in the timetable and/or similar contractual deadlines, the maximum amount of penalties may not exceed 10% of contract value,
- 0.5% of the value of the work (to which the delay relates) for delay in remedying of defects detected at acceptance or during the contractual and statutory warranty period.

The Parties agreed in the contract that the contractual penalty does not cover the whole damage, the Parties may claim additional compensation.

The other contractual terms and conditions are normal provisions used in such contracts.

The other contract with the value of (lump-sum remuneration to the Company) PLN 25,102,418.08 net covers the reconstruction of the internal road system by the Auchan Shopping Centre in Gliwice (including the junction of ul. Rybnicka with ul. Knurowska).
